Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and TIERverify Technologies, LLC (“TIERverify,” “we,” “us,” or “our”). By creating an account, downloading, installing, or using any TIERverify product or service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our Services.

2. Products and Services Covered

These Terms apply to all TIERverify products and services, including:

• AISimplify Browser Extension - Chrome, Microsoft Edge, and Firefox
• AISimplify Desktop - Windows desktop application
• TierHire - Web-based hiring tools and job scoring platform
• AIPBDEV - AI Prompt Builder for Developers
• MIKE - Model Inference Kernel Engine (analyzer.tierverify.com) - AI model persona governance and stability testing platform, including security framework analysis and compliance confirmation tools
• MPG - Model Persona Governance (mpg.tierverify.com) - Behavioral compliance scoring engine for LLM outputs
• tierverify.com and all associated subdomains

Collectively referred to as the “Services.”

3. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into this agreement.

4. Account Registration

To access most features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activity that occurs under your account

Account creation requires a valid email address and is managed through our authentication provider. Free trial accounts require account creation to prevent abuse.

5. Subscription Plans and Pricing

5.1 AISimplify Subscription Tiers

AISimplify (Extension and Desktop) operates on a tiered subscription model:

Hard Limits: All tiers enforce hard call limits. There are no unlimited tiers. When your call limit is reached, the Service will stop processing requests until your billing period resets or you upgrade your plan.

Free Trial: The free trial provides 5 lifetime calls, not 5 per month. Free trial calls do not reset.

5.2 AIPBDEV Credit Model

AIPBDEV operates on a one-time credit purchase model:

Credits are purchased one time and do not expire unless your account is deleted under the inactivity policy (Section 8). Credits are deducted before generation runs. If a generation fails due to a system error on our end, the credit will be restored.

5.3 Other Services

TierHire and other Services may have their own pricing and access models. Pricing for these Services is disclosed at the point of purchase.

6. Billing and Payment

• All payments are processed by a PCI-compliant payment processor.
• By providing payment information, you authorize TIERverify to charge your payment method for the applicable fees.
• Subscription fees are billed in advance on a monthly basis.
• All fees are in US Dollars (USD).
• We reserve the right to change pricing with 30 days' advance notice to active subscribers.

7. No Refund Policy

All purchases are final. TIERverify does not issue refunds.

• Subscription cancellations take effect at the end of the current billing period. You will retain access to your paid tier until the period ends, after which your account will be downgraded to the free trial tier.
• No refunds are issued for partial months, unused calls, unused credits, or any other unused portion of a purchase.
• No refunds are issued for accounts suspended or terminated due to violations of these Terms.

If you believe you were charged in error, contact billing@tierverify.com within 30 days of the charge and we will review the matter.

8. Inactivity Policy and Account Deletion

TIERverify enforces an inactivity policy for account hygiene and compliance with applicable data protection regulations.

• Day 75: Accounts with no activity for 75 days will receive an email warning to the address on file.
• Day 90: Accounts with no activity for 90 days will be automatically downgraded to the free trial tier. Any active paid subscription will be cancelled at this point with no refund for remaining days.
• Day 120: Accounts with no activity for 120 days are subject to permanent deletion. This is a hard delete cascade - all account data, usage history, stored preferences, and associated records will be permanently and irrecoverably deleted.

“Activity” is defined as any authenticated use of a TIERverify product.

You are responsible for ensuring your contact email remains current so that inactivity warnings are received. TIERverify is not liable for data loss resulting from account deletion under this policy.

9. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
• Attempt to reverse engineer, decompile, or disassemble any part of our Services
• Use automated means to access the Services in excess of your tier limits or in a manner that circumvents usage controls
• Share account credentials or resell access to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any system or data

We reserve the right to suspend or terminate accounts that violate this policy without notice and without refund.

10. AI-Generated Content

Our Services use artificial intelligence to generate or process content. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or inappropriate for your use case.
• You are solely responsible for reviewing and verifying any AI-generated output before acting on it.
• TIERverify makes no warranty regarding the accuracy, reliability, or fitness for purpose of AI-generated content.
• You retain ownership of content you submit to our Services. You grant TIERverify a limited license to process your content solely to provide the Services.

11. Intellectual Property

All TIERverify products, software, designs, trademarks, and content are the property of TIERverify Technologies, LLC and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in our Services.

You may not reproduce, distribute, modify, or create derivative works of our products without express written permission.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TIERVERIFY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIERVERIFY TECHNOLOGIES, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless TIERverify Technologies, LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.

15. Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting support@tierverify.com. Account termination does not entitle you to a refund under our No Refund Policy (Section 7).

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. For material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TIERverify Technologies, LLC regarding the Services and supersede all prior agreements and understandings.
